Terms of engagement
These terms apply to professional services offered by API Data Management through this website and subsequent engagement letters.
Acceptance
By requesting a scope, scheduling fieldwork, or signing an engagement letter, you agree to these terms and to the specific scope, fees, and timetable described in that letter. If a conflict arises, the signed engagement letter controls for that matter.
Services
We provide inventory valuation audits, stock count observation, obsolete and slow-moving stock reviews, costing method assessments, and related advisory work. Deliverables are professional findings, letters, and schedules—not statutory audit opinions unless separately agreed in writing.
Client responsibilities
You will provide timely access to warehouses, records, and knowledgeable staff; maintain agreed freeze periods; and ensure health and safety on site. Delays caused by inaccessible locations or incomplete listings may shift deadlines and fees as set out in the engagement letter.
Intellectual property
Working papers remain our property. You receive a license to use final memos and letters for your internal reporting, lender packages, and discussions with your external accountant. You may not resell our templates or reproduce our methodology materials for third-party commercial training without written consent.
Confidentiality
Both parties will protect non-public business information obtained during the engagement and use it only to perform or receive the services, except where disclosure is required by law or professional obligation.
Liability
Our aggregate liability arising from an engagement is limited to the fees paid for that engagement, except where liability cannot be limited under applicable law. We are not liable for decisions management makes after receiving findings, nor for losses from incomplete information you supplied.
Fees and payment
Fees, deposits, and expense treatment are stated in the engagement letter. Late invoices may pause remaining fieldwork until payment arrangements are confirmed.
Website use
Site content is informational. It does not create an engagement until we confirm scope in writing. Do not misuse the site, attempt unauthorized access, or scrape content for competing commercial reuse.
Governing law
These terms are governed by the laws of Taiwan (Republic of China). Courts in Taiwan have jurisdiction over disputes arising from these terms or related engagements, without prejudice to mandatory consumer protections where they apply.
